Banking & finance

Widyawan & Partners is experienced in advising domestic and international banks, and other financial services institutions, conducting and intending to conduct business in Indonesia or with Indonesian companies.

We have advised on Indonesia's regulatory framework, created appropriate business and investment structures for our clients, and negotiated and documented agreements and dealings with Bank Indonesia. We have worked on many project financings for energy and natural resources projects and infrastructure investments.

Banking

Widyawan & Partners has advised lending institutions on financing domestic and cross border transactions, extensions of credit, secured and unsecured credit facilities, as well as syndicated and non-syndicated facilities. We have experience in representing lenders, underwriters and arrangers, and in negotiating and documenting the various agreements involved in such arrangements. We are also experienced in advising financial institutions in relation to their obligations under applicable banking regulations and in dealing with Bank Indonesia, Indonesia's central bank.

Corporate finance

Widyawan & Partners offers services pertaining to the development and implementation of credit facilities for asset and business acquisitions and for development of new projects, securitisation or financial restructuring involving the realisation of assets considered non-essential to a company's core business. We are familiar with negotiating and drafting of facilities, support agreements and the securities, and carrying out due diligence for lenders to obtain accurate information about borrowers.

Project finance & leasing

Widyawan & Partners assists lenders, investors, underwriters, sponsors, lessors, lessees and the Indonesian Government in creating financial structures for new projects and restructuring existing projects to obtain the necessary funds. Such projects include the construction of infrastructure (such as buildings, roads, ports and power plants), utilities (such as electricity generation facilities and gas pipelines), oil refineries, petrochemical plants, LNG projects and telecommunications. We have specific experience in BOT  (Build Operate Transfer) arrangements for the establishment of energy/power plants and in public/private partnerships.

Secured lending

Widyawan & Partners has extensive experience in all kinds of secured lending in Indonesia – security over real property, personal property, cash flow and receivables – both for the acquisition of those assets and by way of security for borrowings for other purposes.

Insurance

Widyawan & Partners offers advisery services in relation to insurance business activities, such as general insurance (including loss, vehicle, marine and property); life insurance (including life, medical and accident insurance, and re-insurance, including, in particular, assistance in relation to regulatory compliance. We also advise insurance-supporting businesses such as insurance brokerages, reinsurance brokers, insurance loss assessment businesses, actuarial consultancies and insurance agents operating in Indonesia, and foreign insurers wishing to invest in these businesses.

Debt restructuring

During the economic recession that affected Indonesia and its neighbours in the late 1990s, Widyawan & Partners was involved in several corporate and debt restructurings, including asset revitalisation. Our lawyers continue to offer restructuring solutions and assist our commercial clients in their businesses' ongoing operations.

Securitisation

Widyawan & Partners has experience in complex securitisations and structured finance transactions. We advise Indonesian and international corporations, financial institutions and public sector bodies on the process of converting cash flow into payment streams and on various derivative products.
